Terms of Service

Effective 20 October 2026 · Provided by AI Opportunities, a Massachusetts sole proprietorship doing business as “Booked By Max” (“we,” “us,” “I”). “You” means the business engaging the service.

1. What the service is

I build, launch, and manage paid advertising campaigns on Google Search, Facebook, and Instagram on your behalf. Which platforms we use depends on your trade, service area, and budget, and we decide that together. The work includes writing and testing ads, setting up and adjusting targeting, managing how your budget is allocated, monitoring what leads are costing, and reporting back to you in plain language.

This is an advertising management service. I am not a lead broker and I do not sell you leads. I do not guarantee a number of leads, calls, bookings, or any particular return — see section 8.

2. Your advertising accounts and your ad spend

This is the most important term here, so it is stated plainly:

  • Advertising accounts are yours. Campaigns run inside advertising accounts owned by you, in your business name. If you do not already have them, I will help you create them, but they are registered to you.
  • You pay the platforms directly. Your advertising budget is charged by Google and Meta to a payment method you enter in your own account. Ad spend never passes through me, is never invoiced by me, and is not part of my fee.
  • Everything built stays with you. Campaigns, ad copy, audiences, conversion tracking, and historical performance data live in your accounts. If we stop working together, you keep all of it and I simply lose access.

To do the work I need delegated access to those accounts, granted through Google’s and Meta’s standard permission systems. You can revoke that access at any time, which immediately ends my ability to manage the campaigns.

3. Minimum budget

The minimum advertising budget is $1,000 per month, paid by you to the platforms. This is not my fee. Below this amount there is not enough traffic to distinguish what is working from what is not, and the engagement would not be a responsible use of your money.

4. Fees, the free first month, and billing

First month free. My management fee is waived for the first full month of active campaign management, so you can see how I work before paying me. The waiver covers my fee only. You still pay your own ad spend to the platforms during that month, and that spend is not refundable by me — I never hold it.

After the first month. A flat monthly management fee applies, agreed with you in writing before the free month ends. The amount depends on your budget and scope. There will be no surprise invoice: if we have not agreed a fee in writing, no fee is owed and the engagement simply ends.

Billing. The management fee is invoiced monthly in advance by email and is due within 7 days. Invoices more than 14 days overdue may result in campaign management being paused until payment is received. I will tell you before pausing anything.

Changes. I will give you at least 30 days’ written notice before changing your fee. You may cancel instead of accepting a change.

5. Term and cancellation

The engagement is month to month. There is no minimum term, no annual contract, and no cancellation fee. Either of us can end it by telling the other in writing, including by email, and it ends at the close of the current paid month. Fees already paid for the current month are not prorated. On termination I stop work, you revoke my account access, and your accounts and campaigns remain yours and keep running or can be paused at your discretion.

6. What I am responsible for

  • Managing your campaigns with reasonable professional care and attention.
  • Spending your budget only on the campaigns and services we have agreed.
  • Telling you honestly what the numbers say, including when results are poor.
  • Telling you if I believe paid advertising is not working or not a fit, rather than continuing to bill you.
  • Keeping your business information confidential and not sharing it as described in the Privacy Policy.

7. What you are responsible for

  • Giving me accurate information about your business, licensing, services, and service area.
  • Granting and maintaining the account access needed to run the work, and keeping a valid payment method on file with the platforms.
  • Answering your leads. Advertising generates enquiries; converting them is your job. Campaigns cannot succeed if calls go unanswered.
  • Being able to service the additional work. Paid advertising increases demand, and it is not a fit if you cannot handle more jobs than you currently get.
  • Holding any licences, registrations, and insurance your trade requires, and making only claims about your business that are truthful and substantiated.
  • Complying with the advertising policies of Google and Meta, and with the laws that apply to how you contact and serve customers.

If claims you ask me to advertise are inaccurate or cannot be substantiated, I may decline to run them.

8. No guarantee of results

Advertising results depend on your budget, your trade, your pricing, the competitiveness of your area, seasonality, how quickly you answer enquiries, and the platforms’ own auction and policy decisions — most of which are outside my control. I do not guarantee any specific number of leads, calls, booked jobs, cost per lead, revenue, or return on ad spend. The early weeks of any campaign are explicitly a testing period in which some ads will underperform; that is how the effective ones are identified. Anyone who promises you a guaranteed number is guessing.

9. Third-party platforms

The service depends on Google and Meta, who may at any time change their policies, pricing, auction behaviour, or available features, and who may reject, restrict, or suspend ads or accounts under their own rules. I am not responsible for their decisions, outages, or account actions, though I will work with you to resolve problems where I can. Your use of those platforms is governed by their own terms.

10. Confidentiality

Each of us will keep the other’s non-public business information confidential and use it only to carry out this engagement. I may describe the general nature of work performed and use your business name as a reference only with your prior permission.

11. Independent contractor

I am an independent contractor, not your employee, partner, or joint venturer, and neither of us can bind the other to obligations with third parties except as needed to manage the advertising accounts you have authorised.

12. Limitation of liability

To the maximum extent permitted by law, my total liability arising out of or relating to this engagement is limited to the total management fees you actually paid me in the three months immediately before the event giving rise to the claim. Because the first month is free, liability for anything occurring during that month is correspondingly limited. I am not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business opportunity, or advertising spend paid by you to any platform. Nothing here limits liability that cannot lawfully be limited, including for fraud or wilful misconduct. The service is provided on an “as is” basis without warranties of any kind except as expressly stated in these terms.

13. Governing law

These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Massachusetts, and both of us consent to that jurisdiction. If any provision is found unenforceable, the rest remains in force.

14. Changes to these terms

If these terms change, the effective date above changes with them, and existing clients will be notified by email at least 30 days before changes take effect. Continuing the engagement after that date means accepting the revised terms.
